Terms of Use
1.Who we are
FloSignals is operated by [FloSignals LLC — confirm legal name and state of formation], [registered address, if required]. In these terms "FloSignals", "we" and "us" mean that company, and "you" means the person using the service. You can reach us at [support@flosignals.com or flosignals@gmail.com — pick one].
These terms cover the website at flosignals.com and its subdomains, the TradingView indicators we publish, FloCharts, the Trade Journal, Quant, the FloScript converter, and the FloSignals Discord. Together they are "the service".
2.Agreeing to these terms
By using any part of the service you agree to these terms, to the Risk Disclaimer, the Privacy Policy, the Cookie Policy and, in the Discord and every other member space, the Community Rules. If you do not agree, do not use the service.
You must be at least 18 to hold a membership or use any member feature; the FloScript converter page is the one part of the site anyone may use. Parts of the service connect to leveraged cryptocurrency derivatives accounts, and we do not offer the service to anyone younger. No part of the service is directed at people under 18. By using it you confirm you are 18 or older and can enter a binding agreement where you live. We may ask for proof of age, and a membership bought by someone under 18 is void from the start.
Where you may use it. You confirm that you are not on a sanctions list kept by the United States (OFAC), the United Kingdom, the European Union or the United Nations; that you are not in, or ordinarily resident in, a country or territory under comprehensive sanctions; and that you are not barred from receiving services like ours under the law where you live. The software may be subject to export-control law, and you agree to comply with it.
You are responsible for knowing whether the service, and the exchanges and products it connects to, are lawful for you to use where you are. Some exchanges refuse residents of some countries; whether an exchange will serve you is between you and the exchange. Connecting an exchange account to the service is your confirmation that the exchange permits you to hold that account where you live. If any of this changes, stop using the live-trading and exchange-connection features.
Keep the details on your Whop account accurate. We may refuse, suspend or close an account at our discretion — for example where we suspect fraud, abuse, a shared login, or use from a place where we cannot lawfully serve you. If we close an account for a reason that is not yours, clause 19 refunds the unused period.
3.What the service is
The service is software and content for studying markets. Depending on your membership it includes:
- Indicators — scripts we publish on TradingView and grant you access to for the life of your membership.
- FloCharts — a chart that draws order-book liquidity, footprint and flow from public exchange data our recorder listens to, and that can send orders to a Toobit account you own (clause 9) and, where we switch it on, FLO, an assistant that reads the chart on your screen and answers questions about it (clause 11).
- Trade Journal — a place to record and review your trades, by hand or imported from an exchange with a read-only key (clause 10).
- Quant — a research workspace for writing and testing indicator scripts. Parts of it are, or may become, assisted by machine-learning models (clause 11).
- The FloScript converter — a free, public tool that rewrites Pine Script® syntax into FloScript, in your browser.
- The Discord — the member community.
None of it is advice, a signal service, a brokerage, an exchange, or a managed account. Despite the name, FloSignals does not send trade signals or tell you when to buy or sell. The Risk Disclaimer says this at length and is part of these terms.
We change the service often. We may add, alter, retire or replace any indicator, feature, chart, relay, endpoint or integration at any time, with or without notice, and we do not promise that anything you build against the service will keep working after a change. If we retire something you paid for and give nothing comparable in its place, clause 19 applies.
4.Membership and billing
You buy a membership through Whop (Whop, Inc., whop.com). Whop hosts the checkout, takes the payment, holds your subscription settings and processes any refund. Whop's own terms apply to the checkout and the payment, and Whop never shares your card details with us. [owner to confirm whether FloSignals or Whop is the seller of record for the membership; this clause is written to hold either way]
Renewal. A membership renews automatically at the end of each billing period — monthly or yearly, as you chose at checkout — at the price shown there, until you cancel. The renewal date and amount are shown at checkout and in your Whop account. Cancel from your Whop account before the renewal date: cancelling stops the next renewal and does not refund the period you are in. An email, a Discord message or a support ticket is not a cancellation. Where we offer a free or discounted trial, it converts to the paid plan at the end of the trial unless you cancel first.
Prices. Prices, plans and what each includes are shown at checkout. A promotional price applies only to the payment it was offered for; renewals bill at the standard price shown at that time, and one discount applies per purchase. We may change prices for new purchases and renewals at any time; a change never applies to a period you have already paid for. Prices exclude VAT, sales tax and similar taxes unless checkout says otherwise; Whop calculates and collects tax from the billing location you give it, and a membership bought by misstating your location may be repriced or ended. Where Whop lets you change plan, [owner to confirm Whop's plan-change behaviour — an upgrade takes effect at once and a downgrade at the end of the current period]. A plan change is not a refund.
If you are a consumer in the EU or the UK, you have a 14-day right to withdraw from a new purchase. By asking us to open the member areas immediately you agree that we start right away and that you lose that right once access is opened, except as the Refund Policy says. [owner: confirm Whop's checkout shows the express "start now and lose the 14-day right" acknowledgement; if it does not, the Refund Policy must give the right in full]
Access. Whop tells us when a membership starts, renews, lapses or is refunded, and we check that when you sign in. A signed-in session lasts up to seven days, so after a lapse or a refund your access ends at your next sign-in or within seven days, whichever comes first. We may close it sooner. See the Refund Policy.
5.Quant credits
Some plans include a monthly allowance of Quant credits. Credits are a usage allowance, not money: they have no cash value, cannot be transferred, sold or refunded. Unused credits expire at the end of each calendar month (UTC), which is how the allowance is counted, whether or not that is your billing date; they do not carry over. We may change what an action costs in credits for future periods, and we may limit heavy use. If we lose a credit balance through our error, we will restore it.
6.Your account
You sign in with your Whop account. We keep a session cookie for seven days so you do not have to sign in on every visit; sign out, or clear the cookie, and the session ends. Keep your Whop credentials to yourself: everything done through your session is treated as done by you.
If you think someone else has used your session or your Whop account, tell us at [support@flosignals.com or flosignals@gmail.com — pick one] straight away and sign out of every device. Until you do, what is done through the session is treated as yours. On a shared or public computer, sign out when you finish. We cannot cut a signed-in session short before it expires; if you think it is compromised, change your Whop password and use Whop's own sign-out-everywhere.
A membership is for one person. Sharing a login, or using one membership to give several people access, is a breach of these terms and we may end the membership without refund.
7.Education only — no advice
Everything the service shows you — indicators, heatmaps, footprints, statistics, backtests, journal analytics, the output of any assistant, posts in the Discord, anything we say in a video or a stream — is general information for your own study. It is not investment, financial, legal, tax or suitability advice, it is not a recommendation to buy or sell anything, and it is not tailored to you. We are not a registered investment adviser, broker, commodity trading adviser or exchange anywhere.
Every trade you place is your own decision, made on your own judgment, with money you can afford to lose. Please read the Risk Disclaimer before you use the service for anything.
8.Market data
FloCharts draws from public market data: live feeds from exchanges that your browser or our recorder listens to, and the minutes our recorder has stored. We do not sell, license or redistribute market data, and we do not promise it is complete, accurate, timely or continuous. A feed can lag, drop, or differ from what the exchange's own screen shows; the recorder has gaps for every moment it was not running.
The data belongs to the exchanges that publish it, under their terms. What the chart shows you is for you to look at and act on by hand. You may not scrape, re-serve, resell or redistribute it; feed indicator values, heatmap or footprint data, or recorder output into another program, bot, signal service or data product; or build anything that redistributes it, without a licence from us. If you do, we may cut off access at once, end your membership without refund and pursue any remedy the law gives us.
9.Live trading from FloCharts
FloCharts can send orders to a Toobit USDT-M perpetual futures account that you own. This is how it works, and what you are agreeing to when you connect one:
- Availability. Live trading may be limited to some members, some regions or a test group, or switched off, at any time and without notice. The relay carries only requests your browser has already signed; we never originate, recommend, size or time an order.
- The account and the key are yours. You create the API key on Toobit, you decide its permissions, and you enter it in your browser. You must create the key without withdrawal permission. Toobit does not let us check a key's permissions, so we rely on your word. Whatever the key allows, our relay refuses any request whose path concerns withdrawals, transfers, sub-accounts, agents, vouchers, spot or copy trading, and forwards only the trading, reading and stream endpoints on its allowlist; that is a safeguard against a bug or a mis-click, not a guarantee. Restrict the key to our relay's address, which the chart shows you with a Copy button when you create the key.
- Your secret never leaves your browser. Your browser signs each request itself; our relay forwards the already-signed request to Toobit, unchanged, because the exchange does not accept it straight from a web page. The relay has no secret, so it cannot forge or alter a request; it could only resend one inside the few-second validity window the exchange allows, and the relay's code does not do that. It does see the key id and the signed query. The relay logs the time, your member reference, the method, the path and the response status of each request it forwards — never a body, a query string or a key id — so that we can investigate a problem you report. Those logs are kept for [owner: recorder log retention (journald settings on the relay box)].
- You confirm it in your own words first. Before your first live connection the chart asks you to type a sentence — "I understand orders are live and are mine" — in a dialog that also says: orders go live the moment the session is connected, with no arming step; the chart places exactly the order you submit, with no size, loss or frequency limit of its own; FloSignals cannot cancel, reverse or guarantee an order and does not hold funds; and you must create the key without withdrawal permission and connect only an exchange that serves you where you live. We keep the words you typed, the version of the sentence, the time and your browser's identification string with your membership, and we may ask you again if the wording changes.
- Orders are live from the moment the session is connected. There is no separate arming step. Anything you submit on a connected chart goes to the exchange, in exactly the size and at exactly the price you submitted: the chart has no position, loss or frequency limit of its own.
- You own every order and its outcome. We do not place, cancel, reverse, hedge or guarantee any order. We cannot undo a fill. If the relay, the chart, your connection or the exchange is slow or down, an order may be delayed, duplicated, rejected or not reach the exchange at all, and the position you hold is still yours.
- Toobit's terms govern the account. Fees, liquidation, margin, outages and residency rules are between you and Toobit. We do not hold or move your funds, and we charge you nothing per order. Any commercial relationship we have with an exchange is disclosed in the Risk Disclaimer.
If you store a key with our optional sync, it is encrypted in your browser under a passphrase only you know before it is uploaded. We cannot read it, and we cannot recover it if you forget the passphrase.
10.Journal exchange connections
The Trade Journal can import closed trades from an exchange using an API key you give it. That key is sent to our platform and sealed there; it is never returned to a browser, and it is never used for anything other than reading your trade history. Every request our side makes with it is a read from a fixed list of endpoints — there is no code on our side that can place an order or move funds with it.
Create those keys as read-only. Some exchanges do not let anyone verify a key's permissions from the outside, so we cannot check this for you. You can delete the key at any time with Disconnect in the journal. We also delete it [owner: days after membership ends, as implemented on the platform — proposed: 90] after your membership ends, as the Privacy Policy says.
11.Quant and assistant output
Quant and FLO are, or may become, assisted by machine-learning models, including models run by third-party providers. Where that is so, the Privacy Policy names the provider. Anything an assistant produces can be wrong, incomplete, out of date or confidently mistaken; a script it drafts can have bugs it did not catch. Read it, test it, decide for yourself. It is never advice and never a prediction. Do not paste secrets, keys or other people's personal data into it.
Because models give similar answers to similar questions, a script or an explanation an assistant gives you may also be given to someone else, and we do not promise it is unique, original or free of third-party rights. Test anything it writes before you trade on it.
Assistant features may be limited by plan, by number of requests or by cost, and we may change, limit or withdraw them at any time. Use them yourself, by hand: do not script, scrape or batch-query them, try to extract the models or prompts behind them, or use their output to build a competing assistant.
If you publish on TradingView a script that Quant helped write, you are the publisher. TradingView's script-publishing rules on originality, attribution and performance claims apply to you, and so does TradingView's ban on using its content for automated trading.
12.Your content
Scripts you write, journal entries, screenshots, saved layouts, notes and anything you post stay yours. You give us only the licence we need to store, display and process them to run the service for you. A private script is never shown to, or reused for, another member without your say-so.
When you share a script, a layout or a post with other members — in the Discord, in Quant, or anywhere else through the service — you confirm you have the rights to it, you alone are responsible for what it does, and you give other members a free, non-exclusive right to use it for their own study unless you clearly state other terms when you share it. We are not responsible for how another member uses something you shared, or for how you use something another member shared.
When you publish a script on flosignals.com/scripts — public, invite-only or protected — you keep ownership of it, and you give FloSignals a free, worldwide, non-exclusive licence to store it, display its page and its description, serve it to the members you made it available to, and run it on their charts, for as long as it is published and as long afterwards as is needed to honour a copy a member already added. A protected script is served as a compiled program, not as source, but we cannot promise that its logic can never be worked out from that program. You can unpublish at any time; a copy a member added to their own chart before then stays with them.
Unless you choose another licence in the publish sheet, a script you publish as public is published under the Mozilla Public License 2.0: the source stays open, anyone may use, change and share it with your name and the licence kept, and a protected (closed-source) script cannot be published under it. The licence you picked is shown on the script's page and travels with every copy a member makes. A script you port from someone else's open-source work must keep that work's licence and credit its author, as the Community Rules say.
Scripts written in FloScript, or in the Pine-compatible syntax it accepts, and the output of the FloScript converter, are not covered by FloScript's licence and belong to their author — see the Copyright & Takedowns page.
Post only what you have the right to post. We may remove content that breaks these terms, the law or the Community Rules, and we handle copyright complaints as described on the Copyright & Takedowns page.
13.Feedback
If you send us an idea, a suggestion or a bug report, you agree we may use it freely, without owing you anything and without treating it as confidential. We may already be working on something similar.
14.Our intellectual property
The service — its software, indicators, designs, text, names and marks — belongs to us or to the people who license it to us. "FloSignals", "FloCharts" and "FloScript" are our trademarks. You get a personal, non-transferable licence to use the service while you are a member and for no other purpose. You may not copy, decompile, resell, sublicense or republish the indicators or the software, or remove any notice from them.
"TradingView" and "Pine Script" are trademarks of TradingView, Inc. FloSignals is not affiliated with, sponsored by or endorsed by TradingView. Our indicators run on TradingView's platform under TradingView's terms, which also apply to you when you use them there.
15.Open-source software
Parts of the service are built on open-source software, and parts of it are open source themselves. The notices those licences require are on the Licences & Notices page. Where an open-source licence gives you more rights to a component than these terms do, that licence wins for that component.
16.What you may not do
Using the service, you may not:
- share a membership, or sell or give away access to any member area or indicator;
- scrape, record, re-serve or redistribute market data or any other content the service shows you;
- use the trade relay, the recorder or any API for anything other than the service's own pages;
- probe, overload, bypass or interfere with the service, its access controls or its infrastructure;
- upload malware, or anything you do not have the right to upload;
- collect, track or publish other members' personal data;
- impersonate anyone, forge headers, or disguise where a request comes from;
- frame, mirror or embed any member page or the chart on another site without a licence;
- misrepresent the service's output as advice, a guarantee or a recommendation to anyone else;
- use the service to break the law, an exchange's terms, or another person's rights.
17.Third-party services and links
The service links to and depends on companies we do not control: Whop for billing, Toobit and other exchanges for your accounts and their data, Discord for the community, TradingView for the indicators. Each has its own terms and privacy policy, which apply when you use it. We are not responsible for what happens there, for their outages, or for anything you buy, trade or sign up for on a third-party site, whether or not we linked to it. Where we have a commercial relationship with one of them, the Risk Disclaimer says so.
18.The Discord and other member spaces
The Community Rules apply in the Discord and in every other place members talk to each other through the service. Discord itself is run by Discord Inc. under its own terms. We moderate the FloSignals server and may mute, remove or ban anyone who breaks the rules, and ending your access to the server does not by itself refund a membership.
Posts, charts and messages from other members are their own opinion. We do not check them, we do not endorse them, and we are not liable for anything you do because of them. Posts you made in the Discord stay there after your membership ends unless you delete them or we remove them.
19.Ending the agreement
You can stop using the service at any time and cancel your membership through Whop. We can suspend or end your access if you break these terms, if the law requires it, or if we stop offering the service; we may also close inactive or fraudulent accounts. Where we end it for a reason that is not yours, we will refund the unused part of any period you have paid for, through Whop. We are not otherwise liable to you for suspending or ending access for a reason set out in these terms.
When your membership ends, your member data is kept and then deleted on the schedule in the Privacy Policy. Export your journal before you go if you want a copy — there is a CSV export in the journal. To have your member data deleted sooner than the schedule, ask us through the Privacy Rights Request page.
Clauses 5 (Quant credits), 7 (Education only — no advice), 8 (Market data), 9 (Live trading from FloCharts), 10 (Journal exchange connections), 11 (Quant and assistant output), 12 (Your content), 13 (Feedback), 14 (Our intellectual property), 17 (Third-party services and links), 18 (The Discord and other member spaces), 19 (Ending the agreement), 20 (No warranty), 21 (Limitation of liability), 22 (Indemnity and release), 24 (Governing law and disputes) and 25 (General) continue to apply after the agreement ends.
20.No warranty
The service is provided as is and as available. We do not promise that it is accurate, complete, uninterrupted, secure, free of errors or fit for any particular purpose, that any data is correct or on time, that any order will reach an exchange, or that any indicator, script, model or strategy will make money or avoid losing it. To the fullest extent the law allows, we disclaim every warranty, express or implied, including merchantability, fitness for purpose and non-infringement. Some places do not allow this, in which case the disclaimer applies as far as it can.
Keep your own backups of what matters to you, including journal exports and scripts, and keep your own device secure; we do not warrant that the service will keep a copy for you.
If you use the service as a consumer, nothing in this clause or the next one takes away rights the law where you live gives you and does not let you give up, including the right to a service that matches its description and is provided with reasonable care.
21.Limitation of liability
To the fullest extent the law allows, FloSignals, its owners, staff and contractors are not liable for any indirect, incidental, special, consequential or punitive loss, or for any trading loss, lost profit, lost data, missed opportunity or exchange, relay or feed outage, arising from the service or your use of it — however it is caused, even if we were told it might happen, and even if a remedy fails its essential purpose.
Our total liability to you for everything arising out of the service in any twelve-month period is limited to the amount you paid for the service in that period, or one hundred US dollars, whichever is more.
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under the law where you live.
22.Indemnity and release
You will defend and compensate us against any claim, loss or cost (including reasonable legal fees) that comes from your breach of these terms, your content, your trading, or your use of an exchange account through the service.
You also release us from any claim arising out of a dispute between you and another member, in the Discord or anywhere else.
23.Changes to these terms
We may change these terms. When we do, the date at the top changes and, for a change that matters, we tell members by email or in the Discord before it takes effect. Using the service after that date means you accept the new terms. If you do not, cancel your membership before the change takes effect.
24.Governing law and disputes
These terms are governed by [governing law and venue — counsel to confirm], without regard to its conflict-of-law rules. If we have a dispute, write to us first at [support@flosignals.com or flosignals@gmail.com — pick one] and give us thirty days to try to resolve it with you. If that fails, the courts named above have exclusive jurisdiction. If you are a consumer in the EEA, the UK or Switzerland, nothing here takes away protections you cannot waive, and you may bring a claim in your own courts. [owner and counsel to decide whether to add an arbitration clause with a class waiver and a 30-day opt-out; none is drafted]
Any claim must be brought within one year of the event that gave rise to it, or within the shortest period the law allows if that is longer. The UN Convention on Contracts for the International Sale of Goods does not apply.
If any clause of these terms is found unenforceable, the rest stay in force. These terms, with the pages they link to, are the whole agreement between you and us about the service.
25.General
You may not transfer this agreement; we may transfer it to a successor of the business on notice. Neither of us is liable for a failure caused by something outside our reasonable control, such as an exchange outage, an upstream provider, a hosting failure, a network attack or a natural event, except that you still owe any fees due. Not enforcing a clause is not a waiver of it. These terms give no rights to anyone but you and us.
You agree to receive notices from us electronically: by email to the address on your Whop account (sent through Whop, since we do not keep the address), by a message in the Discord, or on the site. We email you about your membership, security and changes to these pages; you cannot opt out of those while you are a member. We send news or offers only if you have agreed to receive them, and every such email has an unsubscribe link.
26.Contact
Questions about these terms: [support@flosignals.com or flosignals@gmail.com — pick one].
